Article I

Name and Identity

The Club is Hotlanta Strikers Sporting Club. The Club operates as a community sporting organization and is governed by this Constitution together with its Bylaws, Policies, Rules, Procedures, and approved Executive Decisions, subject to its legally controlling organizational documents and applicable law.

Article II

Purpose and Mission

The Club exists to develop and promote netball in the Atlanta metropolitan area and beyond. Its purposes include athlete and coaching development, competitive participation, tournaments, training, community engagement, sportsmanship, leadership development, and organizational development. The Club provides inclusive, safe, and well-organized opportunities to learn, play, compete, and grow through the sport, and represents the sport with respect and professionalism.

Article III

Values

The Club is guided by sportsmanship, respect, integrity, accountability, inclusion, teamwork, safety, financial responsibility, and responsible representation of the Club. These values inform the Club's conduct standards and its decisions at every level.

Article IV

Governance Structure

The Club operates through its authorized leadership structure under its governing organizational documents. The President provides general leadership and represents the Club as authorized. The Executive Board is responsible for the collective management and governance of the Club's sporting, membership, and organizational operations. Officers, including the Secretary and Treasurer, carry out the duties assigned to them. Committees, members, coaches, team personnel, and other authorized representatives act within the authority granted to them. No individual holds unlimited authority, and no one may bind the Club beyond the authority expressly granted. Specific officer qualifications, terms, appointment, election, vacancies, and removal are addressed in the Bylaws.

Article V

Membership

Membership is subject to the Club's eligibility requirements, registration, any applicable dues or contributions, adherence to Club rules, and maintenance of good standing. The Bylaws may establish membership categories, rights, responsibilities, dues, and renewal requirements. Club membership is a participation status and does not create an ownership interest, equity interest, partnership interest, voting ownership interest, or right to the assets of the Club unless expressly granted through the Club's legally controlling organizational documents.

Article VI

Executive Leadership

Executive Members are responsible for discharging their duties in the best interests of the Club, exercising fiduciary responsibility and reasonable care, maintaining the confidentiality of Club information, attending to their responsibilities, conducting themselves ethically, disclosing conflicts of interest, and remaining accountable for their decisions and actions. Executive service confers governance responsibility only and does not, by itself, confer ownership in the Club.

Article VII

Meetings and Voting

The Club holds regular meetings and may hold special meetings as provided in the Bylaws, with reasonable notice, quorum requirements, recorded decisions, minutes, and voting procedures where applicable. Specific notice periods, quorum numbers, voting thresholds, and meeting procedures are established in the Bylaws unless already established by a higher governing document.

Article VIII

Financial Governance

The Club requires authorized budgeting, accurate financial documentation, appropriate approval of expenses, protection of Club funds, and financial reporting to authorized leadership. Club funds and property may be used only for authorized Club purposes. Membership, dues, donations, sponsorships, fundraising, and contributions do not create ownership or a right to the Club's assets.

Article IX

Discipline and Accountability

The Club may apply fair disciplinary procedures for violations of its governing documents; misconduct; misuse of Club property; financial misconduct; breaches of confidentiality; conflicts of interest; or conduct materially harmful to the Club. Except where immediate temporary action is reasonably necessary to protect safety, property, finances, confidential information, or Club operations, serious sanctions are imposed only after notice, a reasonable opportunity to respond, and a documented decision.

Article X

Amendments

The Constitution may be amended through a formal process: a proposed amendment is submitted, reviewed, approved by the authorized governing authority, documented with the vote and effective date, and published to members. No amendment may conflict with applicable law or with the Club's legally controlling organizational documents.

Article XI

Dissolution

Dissolution and any disposition of assets must follow the Club's controlling organizational documents, contracts, liabilities, and applicable law, with the required approvals. On dissolution, after all debts and liabilities are satisfied, any remaining assets must be applied as required by those documents and applicable law.

Article I

Purpose and Interpretation

These Bylaws set out the detailed operating rules of Hotlanta Strikers Sporting Club, consistent with the Constitution and the Club's legally controlling organizational documents. Where a Bylaw conflicts with the Constitution, applicable law, or a legally controlling document, the higher authority prevails.

Article II

Membership: Eligibility, Classifications, Applications and Good Standing

Membership is open to individuals who meet the Club's eligibility requirements and are admitted under the process established by the Executive Board. The Board may establish membership categories and the rights and obligations of each. Applications are submitted using the Club's registration process, reviewed by the Secretary or a designee, and recorded in the membership register. Membership is renewed annually. Good standing may depend on payment of dues and approved obligations, compliance with the governing documents, and adherence to conduct and safety requirements. Where the governing documents reserve voting rights to members, participation is limited to members in good standing. Membership is a participation status and does not create ownership or equity in the Club.

Article III

Dues, Fees and Financial Obligations

Dues and fees are set by the Executive Board and communicated to members in advance. Members are expected to meet their approved financial obligations within the communicated timeframes. Financial obligations owed to the Club may affect good standing as provided in these Bylaws.

Article IV

$300 Refundable Club Contribution

Each member who is subject to the Club's adopted contribution requirement shall pay a one-time refundable Club contribution of $300. The contribution becomes refundable after the Club satisfies the annual target quota formally established for that year under the Club's approved financial or fundraising plan, subject to verification of the target, the member's account status, and the Club's adopted refund procedure. The following terms apply without exception:

What the $300 payment is not

The $300 payment is a refundable Club contribution.
It does not purchase an ownership interest.
It does not give the contributor equity in Hotlanta Strikers Sporting Club.
It does not create a membership interest in the LLC.
It does not create rights to Club assets.
It does not create a right to profits or distributions.
It does not create ownership of the Club's name, logo, intellectual property, equipment, accounts, sponsorships, tournament revenue, or other property.
It does not constitute the purchase of shares.

The $300 payment must not be described or treated as an investment or as ownership capital. The Executive Board must maintain written records showing payments received, satisfaction of the annual target, refund eligibility, refunds issued, and any unresolved amounts. Private contribution records are not published; only the general terms are published here.

Article V

Executive Positions, Officer Duties, Meetings, Voting and Quorum

The Executive Board is composed and its members selected as provided in these Bylaws. The President, Secretary, Treasurer, and any other officers carry out the duties assigned by the Constitution and these Bylaws. Officers must be members in good standing and meet any additional qualifications the Board establishes. The Club holds executive meetings, regular meetings, and special meetings with reasonable notice, a stated quorum, attendance expectations, procedures for voting, and a written record of decisions. Specific notice periods, quorum numbers, and voting thresholds are established by the Board and recorded.

Article VI

Elections, Appointments, Terms, Vacancies and Removal

Officers are elected or appointed for the terms established by the Board. Vacancies are filled as provided by the Board. An officer may be removed for cause in accordance with the Constitution and these Bylaws.

Article VII

Resignation

An Executive Member who voluntarily leaves office must provide written resignation to the President or Executive Board before terminating responsibilities. The resignation should identify the intended effective date. The departing executive must return Club records, passwords, equipment, financial materials, intellectual property, account access, membership information, and other Club property in that person's possession or control, and must support an orderly transition of unfinished responsibilities.

Article VIII

Discipline, Committees and Financial Controls

Disciplinary matters follow the process in the Constitution, Policies, and Procedures, including notice, an opportunity to respond, an impartial decision, and appeal. The Board may establish committees and define their purpose, membership, and reporting responsibilities. The Club maintains budgets, financial records, and controls in accordance with applicable law and its Policies. Where practical, no one person holds unchecked authority over Club funds; financial actions are reviewed by a second officer.

Article IX

Executive Confidentiality

Executive Members acknowledge that information discussed or received through executive service may include confidential financial, operational, membership, disciplinary, sponsorship, tournament, strategic, contractual, personnel, organizational, or business information. Executive Members must not disclose, reproduce, distribute, publish, forward, or use confidential Club information without authorization, except when disclosure is legally required. This confidentiality obligation continues after the person leaves executive office where legally permitted.

Article X

Conflict of Interest

Executive Members must promptly disclose any financial, personal, family, organizational, employment, sponsorship, vendor, business, or other interest that could create an actual or potential conflict with their Club responsibilities. An interested Executive Member must refrain from participating in a decision when required by the Club's conflict-of-interest policy, and recusal arrangements must be documented.

Article XI

Post-Service Competitive Activity (12 Months)

To the fullest extent permitted by applicable law, for twelve months following termination or resignation, an Executive Member may not use confidential information, proprietary Club information, sponsor relationships, membership information, tournament planning information, or other protected Club resources to assist a materially competing organization, and may not become affiliated with a Netball Club or Social Club that materially competes with Hotlanta Strikers Sporting Club. This provision is expressly subject to applicable law and to reasonable limitations concerning scope of activity, geography, and the nature of the role, and it does not prohibit participation in netball.

If any portion of this Article is held invalid or unenforceable, it shall be severed or lawfully modified to the minimum extent necessary, and the remaining provisions — including confidentiality, non-solicitation, protection of Club relationships, and the balance of these Bylaws — shall remain in full force and effect.

Article XII

Records and Amendments

The Club maintains accurate records, including membership records, minutes, governing documents, and financial records, and retains them for the periods required by law and Club policy. These Bylaws may be amended by the authority authorized under the Club's governing documents, with documentation of the proposed text, the vote, and the effective date, followed by publication to members. Any invalid provision shall be severed, and any provision that conflicts with applicable law will be interpreted or modified only to the extent necessary to comply.

Club Policies sit below the Constitution and Bylaws in authority and must remain consistent with them and with applicable law. Policies state standards and expectations. The text below is provided for member understanding.

Policy 1 — Member Code of Conduct. Members, participants, coaches, volunteers, and representatives are expected to treat one another with respect, uphold the Club's values, and behave in a manner that reflects positively on the Club.

Policy 2 — Anti-Harassment and Respectful Conduct. Harassment of any kind is prohibited. All Club interactions must be conducted respectfully and professionally.

Policy 3 — Non-Discrimination. The Club maintains an inclusive environment free from discrimination on the basis of protected characteristics under applicable law.

Policy 4 — Bullying and Intimidation. Bullying, intimidation, and threatening conduct are prohibited and will be addressed through the Club's disciplinary process.

Policy 5 — Safeguarding and Youth Protection. Where minors participate, the Club takes reasonable steps to protect their health, safety, and welfare, including appropriate supervision and screening of those working with youth.

Policy 6 — Conflict of Interest. Anyone involved in Club decisions must disclose actual or potential conflicts of interest and refrain from participating where appropriate.

Policy 7 — Confidentiality. Confidential Club information must be protected and disclosed only as authorized by the Club or required by law.

Policy 8 — Financial Management. The Club manages funds prudently, keeps accurate records, and complies with applicable financial and tax obligations.

Policy 9 — Expense Reimbursement. Authorized Club expenses may be reimbursed on submission of documentation and approval, as provided in the Procedures.

Policy 10 — Purchasing and Spending Authorization. Spending is authorized at levels established by the Executive Board, with appropriate review and documentation.

Policy 11 — Fundraising. Fundraising activities require prior approval and must be conducted lawfully and transparently.

Policy 12 — Sponsorship Acceptance. Sponsorships are reviewed to ensure they align with the Club's values and do not compromise its integrity or independence.

Policy 13 — Donations. Donations are accepted and recorded in accordance with applicable law and do not create ownership or a right to Club assets.

Policy 14 — Membership Dues and Fees. Dues and fees are set and communicated by the Executive Board and are required to maintain good standing.

Policy 15 — Refunds. Refunds are handled according to the Club's adopted refund procedure and applicable law.

Policy 16 — $300 Club Development Contribution Administration. The one-time $300 Club Development Contribution is administered transparently, with the annual target quota documented by the Executive Board so members can determine refund eligibility as provided in the Bylaws.

Policy 17 — Travel. Club travel is planned, approved, and conducted in accordance with safety and financial standards.

Policy 18 — Tournament Participation. Participation in tournaments is subject to eligibility, registration, and conduct requirements.

Policy 19 — Alcohol, Drugs, Smoking and Prohibited Substances. The Club maintains a safe, substance-free environment at Club activities, consistent with applicable law and facility rules.

Policy 20 — Social Media. Social media activity must respect the Club, its members, and its partners, and may not represent the Club without authorization.

Policy 21 — Photography and Media. Photography and media at Club activities must respect privacy and obtain appropriate consent, especially for minors.

Policy 22 — Brand, Logo, Uniform and Intellectual Property Use. The Club's name, logo, marks, and uniforms may be used only as authorized.

Policy 23 — Data Privacy and Member Records. Personal information is collected, stored, and used responsibly and in accordance with applicable privacy law.

Policy 24 — Health and Safety. The Club promotes safe participation and compliance with applicable health and safety requirements.

Policy 25 — Incident Reporting. Injuries, safety incidents, and safeguarding concerns must be reported promptly.

Policy 26 — Complaints and Grievances. Concerns are addressed fairly, promptly, and, so far as practicable, confidentially through the Club's procedures.

Policy 27 — Discipline. Breaches of the governing documents may result in disciplinary measures imposed through fair process.

Policy 28 — Appeals. A person subject to a disciplinary measure may appeal as provided in the Procedures.

Policy 29 — Volunteer Conduct. Volunteers are expected to uphold the same standards of conduct as members and representatives.

Policy 30 — Coach and Team-Official Conduct. Coaches and officials must act professionally, prioritize participant welfare, and model sportsmanship.

Policy 31 — Equipment and Club Property. Club equipment and property must be used responsibly and returned in good condition.

Policy 32 — Anti-Retaliation and Good-Faith Reporting. No person shall be penalised for raising a concern or complaint in good faith. The Club supports whistleblower and good-faith reporting.

Policy 33 — Records Retention. Club records are retained for the periods required by law and Club policy and are not destroyed to conceal information.

Policy 34 — Enforcement, Review, Conflict and Severability. Policies are enforced consistently. Policies do not override the Constitution, Bylaws, Operating Agreement, Articles of Organization, contracts, governing sports rules, or applicable law. The Executive Board reviews policies periodically and documents amendments. Any invalid provision shall be severed, and any provision that conflicts with applicable law will be interpreted or modified only to the extent necessary to comply with applicable law.

Club Rules operate below Policies and above Procedures. They are practical, direct rules for participation in Club activities and must remain consistent with higher governing documents and applicable law. The text below is provided for member understanding.

Rule 1 — Registration and Eligibility. No person may participate in Club practices, matches, tournaments, or official events without current registration, any required waivers or consents, and eligibility under Club requirements.

Rule 2 — Attendance and Punctuality. Participants must attend scheduled practices, matches, and meetings and arrive on time. Participants should notify their coach or team official in advance when they cannot attend.

Rule 3 — Uniforms, Equipment and Rosters. Participants must wear the required uniform and use appropriate equipment, and must be properly rostered before competing.

Rule 4 — Sportsmanship and Respect. Participants must respect teammates, opponents, coaches, officials, volunteers, and spectators. Abusive language, fighting, threats, harassment, and bullying are prohibited.

Rule 5 — Substances and Facility Rules. Alcohol, drugs, smoking, and prohibited substances are not permitted at Club activities. Participants must follow the rules of each facility or venue.

Rule 6 — Online Conduct and Guest Conduct. Participants must behave respectfully in online Club spaces and are responsible for the conduct of their guests at Club activities.

Rule 7 — Use of the Club Name and Logo. No participant may use the Club's name, logo, or marks, or make commitments on behalf of the Club, without authorization.

Rule 8 — Financial Obligations and Fundraising. Dues, contributions such as the $300 Club Development Contribution, and fees are payable as required. Participants must meet any assigned fundraising responsibilities. These obligations do not create an ownership interest or a right to Club assets.

Rule 9 — Safety, Injury Reporting and Travel. Participants must follow safety requirements, report injuries and hazards promptly, and comply with travel expectations set by the Club.

Rule 10 — Tournament Conduct and Club Property. Participants must follow tournament regulations and protect Club property, returning all equipment and resources in good condition.

Rule 11 — Compliance with Executive Board Instructions. Participants must comply with lawful instructions of the Executive Board and Club officials.

Rule 12 — Official Competition Rules. Where official netball competition rules are governed by World Netball, a national governing body, tournament regulations, or another recognized authority, those rules are incorporated by reference and are not rewritten or contradicted by these Club Rules.

Rule 13 — Consequences. Breaches of these Rules may result in graduated consequences, including verbal correction, written notice, temporary restriction, suspension, disciplinary review, or termination of Club participation. Except where immediate temporary action is reasonably necessary to protect safety, property, participants, or Club operations, serious sanctions require due process under the Club's disciplinary procedures.

Rule 14 — Conflict and Severability. These Rules are subject to the Constitution, Bylaws, Policies, and applicable law. Any provision that conflicts with applicable law will be interpreted or modified only to the extent necessary to comply, and any invalid provision shall be severed. Rules may be amended according to the Club's established amendment procedures.

Procedures describe how the Club carries out its Constitution, Bylaws, Policies, and Rules in practice. They create no new substantive rights or obligations and must remain consistent with higher governing documents and applicable law. The text below is provided for member understanding.

Procedure 1 — New-Member Registration and Verification. A prospective member starts by submitting a registration form. The Secretary (or designee) reviews it for completeness, verifies eligibility, and confirms required consents. Approval is recorded in the membership register. Documentation retained: the form, consents, and eligibility confirmation. Outcome is communicated to the applicant in writing.

Procedure 2 — Annual Membership Renewal. The Secretary starts the annual renewal cycle and notifies members of the renewal window. The Treasurer confirms account standing. The Secretary records renewed members and flags those not in good standing. Outcome is communicated to each member.

Procedure 3 — Collection and Recording of Dues. The Treasurer issues dues notices, receives payment, and records it in the financial ledger. A second officer reviews the record where practical. Receipts are retained and confirmations are issued to members.

Procedure 4 — Collection of the $300 Club Development Contribution. The Treasurer records the one-time $300 Club Development Contribution against the member's account and issues a receipt confirming that the payment is not a capital contribution or investment and creates no ownership interest. Records are retained in the financial ledger.

Procedure 5 — Annual Target-Quota Certification. The Executive Board establishes the annual target quota, verifies achievement against financial records, and formally records the certified result so members can determine the condition that triggers refund eligibility. The certification is retained and published to members.

Procedure 6 — Requesting and Processing an Eligible $300 Refund. A member submits a written refund request. The Treasurer verifies the certified target, the member's account status, and eligibility under the adopted refund procedure. A second officer reviews the request. Approval is documented, the refund is paid, and the outcome is communicated to the member.

Procedure 7 — Executive Onboarding. The President or designee confirms the appointment, provides the governing documents, and records the new member's acknowledgement. Access and credentials are issued as required and recorded.

Procedure 8 — Executive Confidentiality Acknowledgement. On onboarding and annually thereafter, each Executive Member signs a confidentiality acknowledgement confirming the duty to protect confidential information during and after service. Signed acknowledgements are retained securely.

Procedure 9 — Annual Conflict-of-Interest Disclosure. The Secretary distributes a disclosure form annually. Each Executive Member completes and returns it. Disclosures are recorded, conflicts are reviewed, and recusal arrangements are documented where required.

Procedure 10 — Executive Resignation. The resigning member submits a written resignation to the President or Board. The Board acknowledges it, records the effective date, and initiates offboarding.

Procedure 11 — Removal and Offboarding. Removal proceeds under the Constitution and Bylaws with notice and an opportunity to respond. Offboarding follows the handover procedure below and access is revoked.

Procedure 12 — Transfer of Club Documents, Property, Passwords, Accounts and Equipment. The departing member returns all Club property, records, passwords, credentials, funds, and equipment. The Secretary (and Treasurer for funds) verifies the return, and the completed handover is recorded and retained.

Procedure 13 — Executive Meeting Notices and Agendas. The President or Secretary sets the meeting, gives reasonable notice to participants, and circulates an agenda. Notice and agenda are retained with the meeting record.

Procedure 14 — Voting and Recording Decisions. The chair confirms quorum, puts matters to a vote, and announces the result. Vote results are recorded in the minutes, including any recusals.

Procedure 15 — Meeting Minutes and Executive Resolutions. The Secretary prepares minutes and any formal resolutions, which are reviewed and approved at the next meeting. Approved records are retained and non-confidential decisions are summarised in the Executive Decision Log.

Procedure 16 — Financial Approval, Purchasing and Expense Reimbursement. A request is submitted with supporting documentation. The Treasurer reviews it, the appropriate approving officer authorizes it within established limits, and payment or reimbursement is made and recorded. Supporting documents are retained.

Procedure 17 — Sponsorship Review and Fundraising Approval. The proposer submits details. The Board reviews alignment with the Club's values and any conflicts of interest. Approval is recorded, the agreement is documented, and the outcome is retained.

Procedure 18 — Tournament Registration and Roster Verification. The team official registers the entry, verifies player eligibility and rosters, obtains required consents, and retains the registration and verification records.

Procedure 19 — Travel Approval. The organizer submits a travel plan and budget. The Board reviews and approves it, and the approval and records are retained.

Procedure 20 — Incident Reporting. The person involved or a witness reports the incident promptly. The report is escalated to the appropriate officer and, where required, to the relevant authority or governing body. Reports are retained securely.

Procedure 21 — Complaints, Investigations and Notice of Allegations. The complainant submits a concern. The Board or a designated impartial person reviews it, investigates as necessary, and issues a written notice of allegations to the person concerned. Records are retained securely.

Procedure 22 — Member Response, Disciplinary Decisions and Appeals. The member is given a reasonable opportunity to respond and be heard. An impartial panel decides and records the decision and reasons. Appeals are considered by a person or body not involved in the original decision, and the outcome is recorded. Where practical, no single person controls a sensitive disciplinary decision.

Procedure 23 — Emergency Safety Actions. Where there is an immediate risk to safety, an authorized officer may take immediate temporary action and must promptly report and review it.

Procedure 24 — Document Amendments, Publication and Records Retention. A proposed amendment is documented, approved by the authorized body, and recorded with its vote and effective date before publication. Superseded versions are archived, and records are retained for the required periods.

Procedure 25 — Accountability Controls. Where practical, no one person exercises unchecked authority over Club funds or sensitive disciplinary decisions. Financial actions require review by a second officer, and disciplinary decisions are made by an impartial body separate from the person who raised the concern.

Procedure 26 — Compliance and Severability. Procedures are subject to applicable law and to higher governing documents. Any provision that conflicts with applicable law will be interpreted or modified only to the extent necessary to comply, and any invalid provision shall be severed.

They are the lowest document in the internal hierarchy and must remain consistent with the Constitution, Bylaws, Policies, Rules, Procedures, applicable law, and the Club's legally controlling organizational documents.

Section 2 — Authority. Executive Decisions may interpret, administer, or implement existing governance requirements, but they cannot override the Constitution, Bylaws, Operating Agreement, Articles of Organization, contractual obligations, or applicable law. A decision may not create ownership interests, equity, voting ownership rights, penalties, or powers that have not been authorized by a higher governing document or by applicable law.

Section 3 — Numbering and Categories. Decisions are numbered in the format HS-ED-2026-001 (Club prefix, document type, year, sequence). Categories include Finance, Membership, Tournament, Sponsorship, Operations, Governance, Discipline, Travel, Fundraising, Marketing, Personnel, Equipment, and Partnerships.

Section 4 — Publication and Confidentiality. Member-facing resolutions and summaries are published below. Where a decision contains confidential information, a public summary is shown with the following statement: “Certain information relating to this decision has been withheld from publication because it contains confidential, private, legally protected, disciplinary, financial, contractual, or organizational information.”

Section 5 — Duration, Review and Archived Decisions. A decision remains in effect until amended, superseded, or withdrawn. Superseded decisions are retained in the Archived Decisions area for organizational history without appearing as current policy. If a decision conflicts with a higher governing document or applicable law, the higher authority prevails; any provision that conflicts with applicable law will be interpreted or modified only to the extent necessary to comply, and any invalid provision shall be severed.

The Executive Decisions register provides members and stakeholders with access to organizational decisions approved for public disclosure. Certain executive discussions and records remain confidential under Club policy, contractual obligations, privacy requirements, or applicable law.
